Executive Summary: Pre-Acquisition Legal Due Diligence at a Glance
What was the challenge? A prospective acquirer was evaluating a change of control of the Sponsor and Investment Manager of a SEBI-registered Category I Alternative Investment Fund (Angel Fund). The diligence covered four entities and two financial years, including SEBI AIF, FEMA, Companies Act, LLP and transaction-level compliance. The review also involved a 144-investment portfolio, making full-population testing impractical.
What service did the firm provide? APCALLP conducted pre-acquisition legal due diligence covering secretarial, SEBI AIF, FEMA and LLP compliance. The engagement included an Information Request List, data-room review, management walkthroughs, working-paper analysis, a consolidated issues matrix, a stratified review of 20 portfolio investments and a separate memorandum to the acquirer's counsel covering representations, warranties, closing deliverables, indemnities and post-closing covenants.
What was the result? The group was assessed as broadly compliant with the relevant SEBI AIF, Companies Act, LLP Act and FEMA requirements. The residual matters were converted into six Conditions Precedent and five Conditions Subsequent, giving the acquirer a structured basis for addressing open items within the transaction documentation and regulatory process.
Client Overview: A Bengaluru Angel Fund Group
- Business Type: SEBI-registered Category I Alternative Investment Fund (Angel Fund) group
- Location: Bengaluru
- Industry: Alternative Investments / Fund Management
- Business Activity: The target group operated an angel investment platform pooling accredited and high-net-worth investors and deploying capital into early-stage Indian start-ups across sectors including deep-tech, health-tech, aerospace, marine, hospitality and consumer.
Entities in scope:
- Holding private limited company
- Sponsor LLP
- Investment Manager LLP
- Angel Fund constituted as a determinate trust
Problem Summary: The acquirer required an acquirer-side assessment of the group's compliance position and a clear distinction between matters requiring remediation before closing and matters that could be addressed after closing.
The Challenge: Why This Acquisition Needed More Than a Secretarial Review
The engagement involved several considerations beyond a conventional secretarial review, which shaped the kind of due diligence support for business acquisitions the acquirer needed.
A changing regulatory framework. The applicable SEBI AIF framework had changed during the review period. The diligence therefore required consideration of the regulatory changes alongside the group's historical Master Memorandum, filings and operating practices.
Restricted investor documents. Investor-level documentation such as net-worth certificates, accreditation records, consent forms and contribution agreements contained sensitive personal information. Access to these documents within the data room was restricted, requiring an alternative review mechanism.
A 144-investment portfolio. Reviewing every investment was neither feasible nor proportionate within the engagement parameters, requiring a defined sampling methodology.
The review therefore needed to provide sufficient transaction-level visibility while clearly disclosing the scope and limitations of the sampling approach.
Our Approach: A Five-Stage Due Diligence Process
APCALLP structured its legal and secretarial due diligence in five stages:
Stage 1 – Information Request List
An Information Request List was organised across corporate, SEBI and AIF, FEMA and FDI, Companies Act and LLP Act, Angel Fund, agreements and governance, internal policies, deal-level documents and general declarations. Management responses were tracked against each requirement.
Stage 2 – Data-Room Review
The submitted documents were reviewed against the Information Request List, followed by a supplementary checklist covering matters identified during the first review, including the trust indenture, fit-and-proper documentation, NISM certificates, valuation policy, custody agreement, RTA engagement, FATCA and CRS, sponsor continuing-interest records, ESOP documentation, CHG-1 relating to an FD-backed card facility and dematerialisation status.
Stage 3 – Management Walkthroughs
A partner-led online walkthrough was conducted for investor-sensitive documents that could not be uploaded to the data room.
Stage 4 – Working Papers and Issues Matrix
An Excel-based working-paper structure was prepared covering entity-wise findings, a consolidated issues matrix, deal-level tracking, Conditions Precedent, Conditions Subsequent and an annexure of documents reviewed.
Stage 5 – Final Report and Counsel Memorandum
The final deliverables comprised a 14-section Legal Due Diligence Report and a separate memorandum to the acquirer's counsel setting out transaction-document considerations.
Key Strategies in Our Due Diligence Support for Business Acquisitions
Entity-Wise Review with Consolidated Reporting
Findings were organised separately for the holding company, Sponsor LLP, Investment Manager LLP and Fund, supported by a consolidated Issues Matrix.
Separating Compliance Findings from Transaction Steps
Change-of-control requirements, including the relevant SEBI application, investor process, trustee no-objection and transaction-document updates, were tracked separately as Conditions Precedent rather than being treated as historical compliance findings.
Stratified Sampling of Portfolio Investments
Twenty investments were selected from the 144-deal portfolio based on ticket size and instrument type, with the sampling basis and limitations expressly disclosed. The sample included instruments such as CCPS, CCD, CCN, CN and equity.
A Separate Counsel Memorandum
Items requiring management, compliance-officer or other confirmations were placed in a standalone memorandum structured around representations and warranties, closing deliverables, indemnities and post-closing covenants, so the acquirer's lawyers and transaction advisory team could use it directly in the deal documents.
Version and Response Tracking
Management responses, status changes and differences between the initial and final positions were tracked through the working papers and comparison workbook.
Outcome: Broadly Compliant, with Six Conditions Precedent and Five Conditions Subsequent
The review classified the group as broadly compliant with the applicable SEBI AIF Regulations, Companies Act, LLP Act and FEMA requirements. The remaining matters included:
- Completion of dematerialisation requirements under Rule 9B.
- Confirmation of CHG-1 applicability in relation to the FD lien.
- Reconciliation of the ESOP documentation.
- Completion or clarification relating to the custody agreement.
- A written governance note concerning designated-partner authority.
These matters were packaged into six Conditions Precedent and five Conditions Subsequent, providing the acquirer with a structured mechanism for addressing the outstanding items within the transaction framework.
The engagement also resulted in a Legal Due Diligence Report, a counsel memorandum that could be used in drafting the transaction documents, and a mapped regulatory pathway for the proposed change of control. Conclusion: Structuring Due Diligence Support for Business Acquisitions in Regulated Sectors
The engagement demonstrates how pre-acquisition legal due diligence can be structured for a regulated fund-management transaction where corporate, SEBI AIF, FEMA, LLP and portfolio-level considerations overlap.
By separating historical compliance findings from transaction-specific closing requirements, applying a disclosed sampling methodology to the investment portfolio and translating residual matters into Conditions Precedent and Conditions Subsequent, APCALLP's due diligence support for business acquisitions gave the acquirer a structured basis for progressing the proposed change of control. Our secretarial compliance review and regulatory and FEMA compliance services then help close out the post-closing items.
